4. Definitions
The following definitions apply to these Terms unless the context requires otherwise.
5. Digital Assets: Important Notice
AS WITH ANY ASSET, THE VALUE OF DIGITAL ASSETS CAN GO UP OR DOWN AND THERE CAN BE SUBSTANTIAL RISK THAT YOU LOSE MONEY BUYING, SELLING, TRADING, HOLDING OR INVESTING IN DIGITAL ASSETS SUCH AS CRYPTO CURRENCIES. YOU SHOULD CAREFULLY CONSIDER WHETHER BUYING, SELLING, HOLDING, TRADING OR BUYING DIGITAL ASSETS IS SUITABLE FOR YOU. The value of Digital Assets may be derived from the continued willingness of market participants to exchange Digital Assets for Fiat currencies or other Digital Assets. If such willingness is abolished for any reason, this may result in the potential for a permanent and total loss of value of a particular Digital Asset. The volatility and unpredictability of the price of Digital Assets may result in significant loss over a short period of time.
THE TREATMENT OF DIGITAL ASSETS VARIES BY JURISDICTION. BE ADVISED THAT IN SOME JURISDICTIONS, DUE TO REGULATORY CONCERNS, RAMP NETWORK MAY NOT PROVIDE PART OR ALL OF THE SERVICES. The Services are not available where prohibited by law or by Ramp Network policy, as updated from time to time; currently, such places include, but are not necessarily limited to, the countries of Iran, North Korea, Sudan, South Sudan, Syria, Cuba, Russia, or any other country against which the United States, the United Kingdom or the European Union imposes financial sanctions or embargoes. Pursuant to the economic sanctions programs administered in the countries where we conduct business our policies are designed to comply with these sanctions programs and we may: (i) suspend the Service; (ii) terminate the Service; (iii) restrict your Service; (iv) return Digital Assets to the destination of their origin or to a location specified by authorities; or (v) block the transfer of Digital Assets that are the property of a sanctioned person.

8. On-Ramp and Off-Ramp
You can access our Services through the Ramp Network website, via our partners, or by using the Ramp Network Application. You can buy or sell Digital Assets supported by Ramp Network using a payment or payout method made available by us. You can exchange Digital Assets using the Swap Service if the pairs are supported by us.

On-Ramp Service
You can buy Digital Assets supported by Ramp Network using a payment method made available by us, which may include PayPal. Where you select PayPal as your payment method, you authorise Ramp Network to initiate a charge to your PayPal account for the total amount of your Order, including applicable Fees. The availability of PayPal for pay-in and/or pay-out transactions may vary and will be indicated by Ramp Network at the relevant time.
Your use of PayPal is subject to PayPal’s own terms and conditions, and Ramp Network is not responsible for the availability, functionality, or acts or omissions of PayPal. You acknowledge that Digital Asset transactions are irreversible once processed. If you initiate a chargeback, reversal, or dispute through PayPal after your Order has been completed, Ramp Network reserves the right to suspend your access to the Services, recover any amounts owed, and pursue any other remedies available to it. Ramp Network may impose additional limits, verification requirements, or restrictions on Orders paid for using PayPal at its discretion.
You must carefully enter and review all Order details, including the quantity and our offered price, prior to submitting your Order.
Ramp Network will present you with pricing for your On-Ramp Order. If you accept the pricing displayed and submit the Order, this constitutes your acceptance of the pricing displayed for the Digital Asset for which you submitted the Order. If you do not accept the pricing displayed, you are under no obligation to proceed with submitting the Order. You agree and acknowledge that if you are effectuating a bank transfer for purposes of placing an Order, Ramp Network shall recalculate the pricing based on the new market price of the Digital Asset for which you have placed an Order. You further acknowledge and agree that this may cause a decrease or increase in the market price of your Order.
Ramp Network is under no obligation to provide refunds for any Order which was placed using inaccurate data entered by you. Once you submit your Order, you are bound to the Terms for that Order. You may not, and we are not obligated to, cancel, reverse or change any Order once it has been submitted.
You acknowledge that due to the irreversible nature of cryptocurrency transactions, your Order can’t be cancelled once it has been processed or completed. You further acknowledge that Ramp Network shall not help or refund you if you’ve sent your Digital Assets to the wrong Wallet Address, as we don’t have any control over your wallets or any Wallet Address you send your Digital Assets to.
Off-Ramp Service
You sell Digital Assets supported by Ramp Network using a payout method made available by us. You must at all times accurately enter the quantity of the Digital Asset you are seeking to trade via the Off-Ramp Service prior to submitting your Order.
Failure to accurately enter the quantity of Digital Assets may result in an Order Failure. For purposes of clarity, this means that if you over declare or under declare the quantity of the Digital Asset you are sending to us for purposes of Off-Ramp Service, this may result in an Order Failure causing Ramp Network to refund you, minus any applicable network fees. Failure to accurately enter the quantity of Digital Assets may also result in Ramp Network adjusting the Order amount to match the amount of Digital Assets that were sent to Ramp Network. However, Ramp Network reserves the right not to provide this adjustment and to opt to refund you, minus any applicable network fees.
If you delete your payout method after submitting an Off-Ramp Order, Ramp Network reserves the right to proceed with the Order to the payout method entered in the Order.
YOU ACKNOWLEDGE AND AGREE that if you send Digital Assets from a Blockchain network that we do not support or you attempt to send a Digital Asset that is not eligible for Off-Ramp Service, this will result in either permanent loss of the Digital Asset or an Order Failure. In the event of an Order Failure for this reason, Ramp Network shall refund you, minus any applicable network fees.
YOU ACKNOWLEDGE AND AGREE that if your bank or financial institution prohibits, blocks, or limits crypto-related transactions, this shall result in an Order Failure causing Ramp Network to refund you, minus any applicable network fees.
Swap Service
You can exchange Digital Assets using the Swap Service if the pairs are supported by us. You must at all times accurately enter the quantity of the source Digital Asset you are seeking to swap via the Swap Service prior to submitting your Order.
Failure to accurately enter the quantity of source Digital Assets may result in an Order Failure. For purposes of clarity, this means that if you over-declare or under-declare the quantity of the source Digital Asset you are sending to us for purposes of Swap Service, this may result in an Order Failure, causing Ramp Network to refund you the source Digital Asset, minus any applicable network fees. Failure to accurately enter the quantity of source Digital Asset may also result in Ramp Network adjusting the Order amount to match the amount of source Digital Assets that were sent to Ramp Network and delivering the corresponding target Digital Asset accordingly. However, Ramp Network reserves the right not to provide this adjustment and to opt to refund you the source Digital Asset, minus any applicable network fees.
Wallet Address
Ramp Network will display to you the Wallet Address to which the Digital Assets will be transferred. You are obligated to verify whether the displayed Wallet Address that has been disclosed in the application is the correct one. The Wallet Address can be a Ramp Network Wallet, other wallet address indicated by you or a wallet address obtained from the host application you used to launch the widget.
You are obligated to provide a Wallet Address that is owned by you and is under your full control and authorisation. You represent that the Wallet Address is solely under your control. You are obligated to verify whether a transfer of Digital Assets may be successfully effectuated to the Wallet Address that you have provided to Ramp Network. Certain digital wallet providers may impose limits to that respect, which may result in the Digital Assets being released by Ramp Network but not accepted to the Wallet Address. If this occurs, Ramp Network will not be liable and the Service will be considered rendered.
If you delete your source or target Wallet Address after submitting a Swap Order, Ramp Network reserves the right to proceed with the Order within the Wallet Addresses entered in the original Order.
Orders
You are solely responsible for ensuring that:

If you don’t fulfil your responsibilities, we’re not responsible or liable to you for any loss you suffer as a result, including but not limited to your loss of Fiat money, Digital Assets, or loss of opportunity.
Limits on Orders
We may impose certain limits on the minimum or maximum number of trades you can enter into in a given time. We can set and change these limits at our discretion.
Cancelling Orders
We reserve the right to cancel your Order, without advance notice to you, if we don’t receive the correct purchase price from you in time or if the Order violates the relevant laws and regulations that Ramp Network is subject to. In the event that an Order is cancelled, you may be required at Ramp Network’s discretion to bear the costs of resending Fiat money to you. For purposes of clarity, the price paid needs to be exactly equal to the purchase price indicated by Ramp Network.
We are not obligated to cancel, reverse or change any Order once it has been submitted.
Inability to Complete Order
In the event that Ramp Network is not able to complete your Order for any reason, we may refund your Order. In the event of an Order Failure relating to certain compliance check failures, we may have a legal obligation not to refund the Order and are under no obligation to disclose the specific reason for our election not to refund the Order.
Pending Orders
You acknowledge and agree that your Order may be pending. Ramp Network shall not be obligated to issue a refund due to pending Orders. Reasons for pending orders include, but are not limited to, additional verification checks for compliance purposes, Blockchain network congestion, or Blockchain network-related issues which fall outside the scope of our control.
Use of third parties
We use third party exchanges and payment systems to settle your Orders. We’re not responsible or liable for any delay or errors made by them. We’re also not responsible for the consequences of any limits set by your or any third party wallet providers.
Trades
Trades made for purposes of execution of your Order by Ramp Network are usually settled using Blockchain and online payment systems (for the transfer of Fiat). Ramp Network does not provide a settlement platform on its own and is not liable for any errors or delays in the functioning of settlement systems.

You may send supported Digital Assets directly from your Ramp Network Wallet to an external wallet address that you specify on the Blockchain. See “Sending and Receiving supported Digital Assets” Section below for more information.
Sending and Receiving Digital Assets
When you send or receive supported Digital Assets using the Ramp Network Wallet, you acknowledge and understand that these transactions are initiated and executed directly by you on a Blockchain using your Private Key. Ramp Network does not take an order, act as an intermediary, or involve itself in executing these transactions in any way. You acknowledge that Blockchain transactions are irreversible, and Ramp Network cannot cancel, reverse, or recover transactions once processed. You are solely responsible for ensuring that you send Digital Assets to the correct wallet address on the Blockchain. Sending Digital Assets to an address on an incompatible or incorrect network may result in permanent and total loss of those Digital Assets.
You may send Digital Assets through the Ramp Network Wallet using the following methods:
- Send to Contacts: You may send USDC on the Base network to other Ramp Network users through their Username. Both you and the recipient must have active Ramp Network Wallets and must have mutually accepted contact invitations. Pending invitations do not permit transactions. You are solely responsible for verifying the correct Username before initiating any transaction.
- Send via payment link: You may generate redeemable payment links that allow the recipient to receive USDC on the Base network. Payment links expire automatically after 48 hours if unclaimed, or may be cancelled manually by you, in which case the USDC returns to your Wallet. Recipients must download the Ramp Network application and create a Ramp Network Wallet to claim funds from payment links.
- Send to wallet address: You may send supported Digital Assets to any compatible wallet address on Blockchain. You are solely responsible for verifying the accuracy and compatibility of the destination wallet address and Blockchain before initiating transactions. You must ensure that you are sending the Digital Asset on the Blockchain. Sending a Digital Asset to an address on an incompatible or incorrect network (for example, sending an asset on one network to an address that only supports a different network) may result in permanent and total loss of those Digital Assets. Ramp Network cannot recover Digital Assets sent to incorrect addresses or incorrect networks.
Receiving Digital Assets
You may receive supported Digital Assets through through the Ramp Network Wallet using the following methods:
- Transfers of USDC on the Base network from other Ramp Network users via your Username
- Claiming funds from payment links shared with you
- From an external wallet on any supported Blockchain network.
10. Earn
Earn is an optional feature that allows you to earn yield on your USDC by depositing it into a Vault or lending pool accessed through third-party decentralized finance protocols. Depending on the Blockchain network, Earn is made available through different protocols: (a) on the Base network, USDC is deposited into the Vault, a smart contract managed by our Vault Partner that uses the third-party DeFi Morpho protocol; and (b) on the Stellar network, USDC is deposited into a lending pool managed by the third-party DeFi Blend protocol, which does not use a Vault Partner or curator, as all Blend pools are managed by the Blend protocol. In each case, Earn remains a non-custodial service in which you deposit USDC from your own non-custodial Ramp Network Wallet, receive variable yield, and may redeem your USDC at any time, subject to any applicable fees which, where charged, are disclosed to you prior to deposit .
By using Earn, you acknowledge and agree that:
- you have read and understood this entire Earn section, including all risk disclosures;
- you understand that participation in Earn involves the risk of partial or total loss of your deposited assets;
- the Earn feature involves interaction with third-party protocols not controlled by Ramp Network;
- yields are variable and not guaranteed;
- you are solely responsible for determining whether participation in Earn is suitable for your financial situation and risk tolerance;
- you have reviewed and accept any applicable terms of service from the Vault Partner and third-party protocols;
Earn Feature
The Earn feature is a self-custodial functionality. You retain control of your digital assets at all times. Your assets are held in your Ramp Network Wallet and, if you choose to participate in Earn, are transferred by you to the Vault. Ramp Network does not take custody of your assets, and assets deposited into the Vault do not pass through, and at no time are received, held, or controlled by Ramp Network. Participation in Earn involves interaction with blockchain smart contracts and decentralized finance protocols. Ramp Network acts solely as an interface enabling access to, and facilitating interaction with, such smart contracts. Ramp Network is not responsible for the performance, security, or operation of third-party protocols or smart contracts.
Third-Party Infrastructure and Protocols
On the Base network, the Vault is managed by the Vault Partner and uses the DeFi Morpho protocol to generate yield. On the Stellar network, yield is generated through lending pools managed by the DeFi Blend protocol, which does not involve a Vault Partner or curator. Ramp Network is not affiliated with these third-party protocols. Your use of Earn is subject to the terms of the Vault Partner (where applicable) and any third-party protocols involved, including the Morpho Terms of Use and the Blend Terms of Service .
Ramp Network expressly disclaims liability for third-party services. You acknowledge and agree that Ramp Network does not control, endorse, guarantee, or assume responsibility for any third-party protocols or services utilized by the Vault, and that Ramp Network shall not be liable for any losses resulting from the actions, omissions, insolvency, or failure of any such third parties.
How it works
You deposit USDC from your Ramp Network Wallet into the Vault (on the Base network) or into a Blend lending pool (on the Stellar network). Deposited USDC cannot be used for other transactions until you redeem it. The Vault or Blend pool generates yield by lending USDC and providing liquidity on decentralized markets.
Yield accrues automatically and continuously and is reflected in the value of your share of the Vault. There is no requirement to claim yield manually, and no schedule such as daily or weekly distributions is guaranteed.
The rate of return generated by the Vault, expressed as Annual Percentage Yield (“APY”) in the Ramp Network Wallet interface, is dynamic and may increase or decrease in response to market conditions, strategy performance, or other factors. Displayed APY figures are estimates and are not guarantees of future performance.
Withdrawing Your USDC
You can withdraw your USDC at any time. You'll receive your deposit plus any earned yield, minus applicable fees. Ramp Network is not responsible for withdrawal delays or any resulting losses. By participating in Earn, you accept the risk of delayed or restricted access to your funds.
Fees
Participation in the Earn feature may be subject to fees (“Vault Fees”). Vault Fees are determined at the Vault smart contract level and may include fees applied by the Vault Partner and underlying protocols.
Ramp Network reserves the right, at its discretion, to introduce, modify, or remove Vault Fees at any time. Where required, applicable Vault Fees will be disclosed within the Ramp Network Application interface prior to participation or redemption.
Vault Fees, when applicable, are reflected in the performance of the Vault and may reduce the yield generated.
You acknowledge that Vault Fees may change over time and that Ramp Network does not guarantee the continuation of any specific fee structure.
Risks
Participation in the Earn feature involves material risks, including without limitation the risk of partial or total loss of your deposited assets. By participating in Earn, you accept all such risks, which may include:
Smart Contract Risk: Smart contracts may contain bugs, errors, or vulnerabilities that could lead to partial or total loss of deposited assets.
Liquidity Risk: Availability of liquidity within the Vault or underlying protocols may affect redemption timing and process.
Market Risk: Yield rates and returns may fluctuate or decline due to factors outside Ramp Network’s control.
Third-Party Protocol Risk: The Vault and underlying third-party protocols may behave in unexpected ways, fail, be subject to exploits or governance actions, or undergo changes in strategy, upgrades, or migrations that may affect the value, accessibility, or security of your deposited assets.
Regulatory Risk: Changes in laws or regulations may affect the availability, legality, or operation of the Earn feature, the Vault, or underlying protocols. Regulatory actions may require suspension, modification, or termination of the Earn feature, potentially affecting your ability to access or redeem your assets on your preferred timeline.
You acknowledge and accept all risks associated with participation in the Earn feature and agree that Ramp Network is not liable for any losses arising from such risks.
Important Disclaimers
Ramp Network makes no warranty, express or implied, regarding the performance, profitability, or security of the Earn feature or any third-party smart contract or protocol. Ramp Network does not provide financial, tax, legal, or investment advice. Participation in the Earn feature is at your sole risk. The Earn feature and any yields generated are not deposits, are not insured by any government agency, and are not guaranteed. Nothing in these Terms or the Ramp Network Application shall be construed as an offer or solicitation to buy or sell securities or investment advice.
Changes to Earn
Ramp Network reserves the right, in its sole discretion and without prior notice or liability, to: (a) suspend, modify, limit, or discontinue the Earn feature at any time for any reason, including but not limited to regulatory requirements, risk management concerns, third-party protocol failures, or business reasons; (b) implement new eligibility requirements, geographic restrictions, deposit limits, or usage restrictions; (c) change the Vault Partner or underlying protocols used to generate yield; (d) require redemption of all or part of deposited assets; or (e) prevent new deposits while allowing existing deposits to be redeemed. You acknowledge that such actions may result in delays, reduced yields, or losses, and you agree that Ramp Network shall not be liable for any such consequences.
11. Account
If you register for a Ramp Network account (“Account”) we will ask you to provide your details, including but not limited to your name, email address and password. By registering, you confirm that you accept these Terms and will use the Services only for yourself as the sole Account owner. You must not share access, allow third parties to use your Account, or act on behalf of another third party. You may register only one Account. You are fully responsible for all activity that occurs under your Account. We will collect, store, and use the personal information you provide in connection with the Account use, in accordance with our Privacy Policy.
12. Refunds
On-Ramp Service
Ramp Network is under no obligation to provide refunds to an Order which was placed using inaccurate data entered by you.
You must at all times accurately enter the quantity of the Digital Asset you are seeking to trade via the Off-Ramp Service prior to submitting your Order. Failure to accurately enter the quantity of Digital Assets may result in an Order Failure. For purposes of clarity, this means that if you over declare or under declare the quantity of the Digital Asset you are sending to us for purposes of Off-Ramp Service, this may result in an Order Failure causing Ramp Network to refund you, minus any applicable network fees. Failure to accurately enter the quantity of Digital Asset may also result in Ramp Network adjusting the Order amount to match the amount of Digital Assets that were sent to Ramp Network.
13. Inaccurate Data
Ramp Network is not responsible for any inaccuracy in the Personal Data provided by you. You are obligated to check all the information before submitting it to Ramp Network. Blockchain transactions are irreversible and Ramp Network will not be able to reverse any transactions already executed in case you made a mistake in the provided Personal Data or instruction. This includes transactions initiated through the Wallet, where you have direct control over transaction execution. Ramp Network is under no obligation to provide you with a refund or compensation of any sort for erroneous transactions caused by your input of inaccurate data or loss of access to your Wallet.
14. Blockchain Data
Your use of Digital Assets may be recorded on a public Blockchain (such as your Wallet Address). Many Blockchains are open to forensic analysis which can lead to re-identification of transacting individuals and the revelation of Personal Data, especially when Blockchain data is combined with other data. Any information stored in a public Blockchain will remain for an indefinite period of time. Blockchains are decentralised or third-party networks which are not controlled or operated by Ramp Network, we are not able to erase, modify, or alter Personal Data on such networks.

16. Payment and Fees
On-Ramp, Off-Ramp and Swap Services
We charge you the price to buy or sell your Digital Assets plus the following fees (“Fees”):
- Ramp Network Fee - charged by us to execute your trade
- Third-Party Fees:
- Network Fee - charged by the Blockchain executing your trade
- Fee on Top - charged by the third-party application or service you are accessing our Services through.
You can view our detailed pricing information at: https://support.ramp.network/en/articles/10415-what-fees-are-charged-when-buying-crypto
We will make all reasonable efforts to let you know the conversion rate and how much you’ll be charged in Fees for each Order before you enter into a trade. The Fees may vary and change per Order.
Ramp Network Wallet
Transactions executed on-chain using the Ramp Network Wallet are subject to Network Fees, which are charged by the Blockchain, not by Ramp Network. The amount of Network Fees is determined by the Blockchain itself and may vary significantly depending on network congestion, transaction complexity, and the specific blockchain being used. Network Fees are variable, unpredictable, and entirely outside of Ramp Network's control. Different Blockchain networks employ different fee mechanisms. Network Fees can fluctuate dramatically, particularly during periods of high network congestion, and may in some cases exceed the value of the Digital Assets being transferred. You are solely responsible for reviewing and accepting the applicable Network Fee before initiating any transaction. Network Fees are non-refundable, even if a transaction fails or is delayed. Ramp Network reserves the right to subsidize Network Fees at its discretion for certain transaction types and may choose to discontinue such subsidization at any time without notice.
Taxes
You are responsible for complying with applicable tax law. You agree that Ramp Network is not responsible for determining whether or which laws may apply to your transactions, including tax law. You are solely responsible for reporting and paying any taxes arising from your use of the Services.
17. Term, Termination & Suspension
Term
These Terms start when you access and use the Services and continue to apply until terminated by either you or us.
When we can terminate or suspend your access
We can immediately suspend your access to and use of the Services without advance notice if:
- you no longer meet the Eligibility Criteria,
- you breach these Terms,
- you breach your Representations and warranties
- you don’t pay our Fees, or
- we are instructed or required to do so by a governmental body, law or regulation.
We reserve the right to terminate your access to the Services, refuse processing, cancel and reverse any transaction, regardless of if corresponding funds have been debited from your payment method at any time and without advance notice.
You may terminate this contract at your discretion, subject always to the prior completion of the Order placed under these Terms. Certain provisions of these Terms shall survive termination: including your indemnity, taxes, confidentiality, warranty and other disclaimers, limitation of liability, intellectual property, governing law and those provisions that by their nature are intended to survive termination or expiration of these Terms.
Consequences of our suspension or termination
If you’ve initiated an Order or trade before we terminate or suspend your access, we’ll return the relevant Fiat currency or Digital Assets to you unless law or regulation doesn’t allow us to. Anything in these Terms which is intended to survive termination - including your indemnity, taxes, confidentiality, warranty and other disclaimers, limitation of liability provisions, provisions with respect to your applicable responsibilities, IP, and governing law - will remain in force.
If your access to the Services is terminated or suspended, you will still retain the ability to use your Ramp Network Wallet. You can recover your wallet in another application by using your Secret Recovery Phrase.
